1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you (either an individual or the legal entity you represent, "Customer," "you," or "your") and btelb Telecom Communications ("btelb," "Company," "we," "us," or "our"), governing your access to and use of the btelb platform, website at btelb.com, client dashboards, application programming interfaces (APIs), virtual phone lines, 24/7 AI Voice Receptionist, messaging features, and related telecommunications services (collectively, the "Service").
By creating an account, selecting a pricing plan, provisioning a phone number, or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and SMS Terms & Opt-In Policy. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
btelb provides a next-generation cloud business telecommunications platform designed for local service providers, mobile contractors, dispatchers, and growing businesses. Core capabilities include:
- Dedicated Business Phone Numbers: Provisioning and management of local, toll-free, and vanity telephone numbers, alongside number porting and smart forwarding.
- 24/7 AI Voice Receptionists: Conversational artificial intelligence agents configured to answer incoming calls, answer questions via business knowledge catalogs, collect job details, quote prices, and dispatch personnel.
- AI Call Transcripts & Summaries: Automated speech-to-text transcription, call summarization, sentiment evaluation, and actionable task extraction.
- Smart Team Routing & Ring Groups: Dynamic call forwarding to designated team members, on-call dispatching, and schedule-based availability rules.
- Lead Recovery SMS Alerts: Automated SMS notifications triggered when incoming calls are missed, enabling rapid customer callback and lead preservation.
- Call Recording & Cloud Storage: Cloud audio recording and playback with secure 90-day retention for quality assurance, compliance, and training.
3. Emergency Services (NO 911 / E911 Calling)
IMPORTANT EMERGENCY CALLING NOTICE:
THE SERVICE DOES NOT SUPPORT TRADITIONAL 911 OR E911 EMERGENCY CALLING. YOU CANNOT USE BTELB TO PLACE EMERGENCY CALLS TO FIRST RESPONDERS, POLICE, FIRE DEPARTMENTS, OR MEDICAL PERSONNEL.
You expressly acknowledge and agree that btelb is a commercial business telecommunications platform and is not a substitute for traditional wireline or wireless telephone service. You must maintain independent access to traditional landline or wireless telecommunications services capable of reaching 911 emergency dispatch services at all times.
btelb, its officers, directors, employees, affiliates, and telecom carrier partners shall have no liability whatsoever for any claims, damages, losses, or injuries resulting from or arising out of the inability to access emergency services via the Service.
4. 24/7 AI Voice Receptionist & Generative Intelligence Disclaimers
The Service incorporates advanced artificial intelligence and machine learning models (including speech-to-text, natural language understanding, and conversational voice synthesis) to handle calls, provide business information, and transcribe discussions.
- No Guarantee of Flawless Accuracy: Conversational AI outputs are probabilistic. While we employ state-of-the-art enterprise models, btelb does not guarantee that AI answers, transcriptions, summaries, price estimations, or caller details will be 100% accurate, complete, or error-free.
- Customer Responsibility for Business Knowledge: You are solely responsible for configuring, verifying, and maintaining the accuracy of the prompts, pricing catalogs, business hours, service areas, and dispatch instructions provided to the AI voice agent.
- No Critical Life-Safety Use: The AI Voice Receptionist must not be used for life-critical, medical triage, emergency dispatch, or legal advice.
- Limitation on Lost Opportunities: btelb shall not be liable for any lost jobs, missed appointments, lost revenues, or misquoted fees resulting from AI misunderstandings, speech recognition discrepancies, or telecom connection interruptions.
5. Call Recording, Transcription & Wiretapping Consent Compliance
The Service provides features that allow call recording, automatic transcription, and audio playback. Federal law (18 U.S.C. § 2511) and various state and local laws regulate the interception, recording, and monitoring of telephone conversations.
- Two-Party / All-Party Consent States: Certain jurisdictions (including California, Illinois, Florida, Massachusetts, Maryland, Pennsylvania, Washington, and others) require that all parties to a telephone conversation explicitly consent to recording before recording commences.
- Customer Responsibility: You are exclusively responsible for determining and complying with all applicable federal, state, and local wiretapping, eavesdropping, and privacy laws. You agree to ensure proper notifications (such as automated audible beeps, verbal announcements, or IVR disclaimers stating that the call may be recorded or monitored) are enabled whenever recording features are active.
- Indemnification for Recording Violations: You agree to defend, indemnify, and hold harmless btelb from and against any claims, regulatory penalties, fines, or lawsuits arising out of your failure to obtain required consent for recorded calls or transcripts.
6. Telecommunications & SMS Messaging Compliance (TCPA & 10DLC)
Your use of btelb phone numbers, calling minutes, and SMS text messaging features must strictly comply with all telecommunications laws, carrier rules, and industry guidelines, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), the CAN-SPAM Act, the Truth in Caller ID Act, and CTIA Messaging Principles.
- Unlawful Communications Prohibited: You shall not use the Service to transmit unsolicited commercial marketing (spam), unlawful robocalls, fraudulent caller ID spoofing, harassing communications, or deceptive caller identification.
- A2P 10DLC Registration & Consent: All application-to-person (A2P) SMS traffic across US mobile networks is subject to carrier registration (10DLC). You must possess verifiable opt-in consent from call recipients before sending SMS notifications and must immediately honor opt-out requests (such as text replies of "STOP").
- Prohibited Content (SHAFT): In accordance with carrier guidelines, you are strictly prohibited from transmitting content related to Sex, Hate, Alcohol, Firearms, Tobacco, cannabis/CBD, payday loans, high-risk financial schemes, or any unlawful activity. Violations will result in immediate line suspension.
- Carrier Surcharges & Filtering: Mobile network operators may filter or block messages deemed non-compliant or impose pass-through carrier surcharges. btelb is not responsible for messages blocked or delayed by downstream carrier filters.
7. Subscription Plans, Minute Pools & Billing
btelb offers recurring subscription plans (Starter, Professional, Business) alongside usage-based billing:
- 14-Day Trial & $5 Deposit: New customers may evaluate the Service with a 14-day trial including a dedicated phone line and 50 calling minutes/SMS. A one-time $5.00 verification deposit is charged upon signup and is 100% credited toward your first monthly invoice.
- Recurring Subscriptions: After the trial period, plan subscription fees are billed in advance on a recurring monthly or annual basis (according to your chosen billing frequency) to your authorized payment method.
- Shared Minute Pools & Overage Rates: Each plan includes a designated monthly pool of calling minutes (400 minutes for Starter, 500 for Professional, 800 for Business) shared across active lines. Overage calling minutes exceeding your pool are billed at $0.025 per minute.
- Add-on Usage Rates: Additional usage fees are billed based on consumption: Lead Recovery SMS alerts at $0.05 per text; AI call summaries and transcripts at $0.10 per summary; additional AI Voice Receptionist calls on Business tier at $0.99 per call beyond the included 30 calls; call recording beyond 120 minutes at $0.02 per minute.
- Taxes and Regulatory Surcharges: Stated pricing excludes applicable federal, state, and local telecommunications excise taxes, Universal Service Fund (USF) contributions, and regulatory cost recovery fees.
- Cancellation & Refunds: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the conclusion of the current prepaid billing period. Except where required by law or explicitly stated in writing, recurring subscription payments and usage charges are non-refundable.
8. Phone Numbers & Portability
Telephone numbers assigned through the Service are provisioned via our licensed carrier partners:
- Number Ownership: You do not possess permanent property rights in any telephone number provided by btelb. However, subject to federal Local Number Portability (LNP) rules and carrier verification, you may port out eligible active numbers to another provider provided your account is in good standing with no delinquent balances.
- Account Inactivity & Number Reclamation: If your account is canceled, suspended, or terminated for non-payment or breach of these Terms, btelb reserves the right to release and reassign associated telephone numbers back to the carrier pool after thirty (30) days.
9. User Accounts & Security
To utilize the Service, you must maintain an authenticated account. You agree to:
- Provide accurate, current, and complete registration information.
- Protect the confidentiality of your login credentials and authentication tokens.
- Promptly notify btelb at security@btelb.com of any unauthorized access, compromised credentials, or security incidents.
- Accept responsibility for all actions, calls, messages, and charges initiated under your account credentials.
10. Intellectual Property Rights
The Service, including its underlying software, algorithms, user interfaces, documentation, logos, and brand trademarks, is the sole and exclusive property of btelb Telecom Communications and its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes.
You retain all ownership rights in your customer data, business catalogs, call audio recordings, and customer contact information. You grant btelb a non-exclusive license to process, store, and transmit your data strictly as necessary to provide, support, and maintain the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BTELB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR TELECOMMUNICATION CARRIER PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR TELECOMMUNICATIONS DOWNTIME), REGARDLESS OF WHETHER BTELB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL BTELB'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO BTELB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BTELB DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR COMPLETELY FREE OF ERRORS OR CARRIER DROPS.
13. Dispute Resolution & Mandatory Binding Arbitration
Please read this section carefully, as it affects your legal rights:
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
- Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The place of arbitration shall be Chicago, Cook County, Illinois.
- Class Action Waiver: YOU AND BTELB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14. Modifications to Terms
We reserve the right to revise or update these Terms at any time. When updates are published, we will revise the "Last updated" date at the top of this page. In the event of material revisions, we will provide notice via email or within the customer dashboard. Your continued use of the Service following the posting of changes constitutes acceptance of the modified Terms.
